These terms explain how CJE Digital Marketing Agency (“CJE Agency”, “we”, “us”) provides Google Ads and pay-per-click management services. Section 1 applies to registered charities and non-profit organisations using the Google Ad Grant. Section 2 applies to businesses and organisations using our paid management service. Where both apply, both sections should be read together.
Charities & Non-Profits
References on this website to “€10,000 per month” or “€10K per month” refer to the Google Ad Grant, a programme operated by Google that provides eligible charitable organisations with free Google advertising credit.
What the €10,000 actually is
- The Google Ad Grant provides up to €10,000 per month in free Google Ads advertising credit, equal to up to €120,000 per year.
- It is advertising credit only. It is not cash, it is not a payment or donation to your organisation, and it cannot be withdrawn, transferred or paid out in money.
- The credit can only be spent on Google Ads (formerly Google AdWords) within the grant account. It cannot be used for any other purpose, including other advertising platforms, agency fees, or general organisational costs.
- Unspent credit does not accumulate. Any portion of the monthly allowance that is not used is lost at the end of that month and is not carried forward.
Eligibility
- To qualify, your organisation must be a registered charity or registered non-profit organisation holding valid charitable status in its country of operation.
- Government entities, hospitals, medical groups, schools, childcare centres, academic institutions and universities are generally not eligible, although some may qualify through separate Google programmes.
- Your organisation must have a functioning website with substantive content, secured with HTTPS, and must agree to Google’s required certifications regarding non-discrimination and the appropriate use of donations.
- Eligibility is determined solely by Google. We can advise on and assist with an application, but we cannot approve one, guarantee approval, or influence Google’s decision.

Our role and Google’s role
- CJE Agency provides the setup and ongoing management of your Google Ad Grant account: application support, account structure, keyword and campaign build, conversion tracking, optimisation and reporting.
- The grant itself is provided by Google, not by CJE Agency, and is subject at all times to Google’s own eligibility criteria, programme policies and ongoing compliance requirements.
- Grant accounts must meet continuing requirements set by Google, which may include minimum click-through-rate thresholds, valid conversion tracking, active campaign management and periodic reconfirmation of eligibility. Accounts that do not meet these requirements may be suspended or cancelled by Google.
- Google may change, suspend, restrict or withdraw the Google Ad Grant programme, or any individual account, at its sole discretion. CJE Agency is not liable for any such change, suspension or withdrawal.
- Our management fee, where one applies, is separate from the grant and is payable by your organisation. It is never taken from the grant credit, which is not capable of being paid out.
Businesses & Organisations
The following terms apply to our paid Google Ads and pay-per-click management service for businesses and other non-charitable organisations.
2.1 Scope of service
- We provide Google Ads and PPC management, which may include account setup, campaign strategy, keyword research, advert copywriting, conversion tracking, bid and budget management, ongoing optimisation and performance reporting.
- The specific services, deliverables, reporting frequency and term are those set out in the written proposal, quotation or statement of work agreed between us. Where those documents conflict with these terms, the agreed written document takes precedence.
- Work outside the agreed scope may be quoted and charged separately, and will not begin without your approval.
2.2 Advertising spend
- Advertising spend is separate from our management fee. Media spend is paid by you directly to Google under your own Google Ads billing account.
- You retain ownership of and control over your Google Ads account and its billing. You set the monthly budget, and you may change or pause it at any time.
- We do not mark up, resell or profit from your media spend, and we are not responsible for charges levied by Google, including invalid click adjustments, currency conversion or applicable taxes.
2.3 Fees and payment
- Management fees are as stated in your proposal or quotation, and are typically billed monthly in advance unless agreed otherwise.
- Unless expressly stated, fees are exclusive of VAT, which will be applied at the prevailing rate where chargeable.
- Invoices are payable within the period stated on the invoice. We may suspend services on accounts that remain unpaid after that period, having given you reasonable notice.
2.4 No guarantee of results
- Advertising performance depends on many factors outside our control, including auction competition, seasonality, your pricing and offering, your website, and changes made by Google to its platform, policies or algorithms.
- We therefore do not guarantee any specific result, including a particular ad position, click volume, cost per click, cost per lead, conversion rate, revenue or return on ad spend. Any figures, forecasts or past results we share are estimates or illustrations, not promises.
- We will provide the service with reasonable skill and care and in line with good industry practice.
2.5 Your responsibilities
- You agree to provide timely access to the accounts, analytics, websites and information we need, and to respond to reasonable requests for approval or clarification.
- You are responsible for the accuracy and legality of any material you supply, including claims, offers, pricing, images and trade marks, and for holding the rights necessary to use them in advertising.
- You are responsible for your own website, hosting, tracking consent and compliance with applicable law, including consumer protection, data protection and GDPR obligations relating to your visitors.
- You must comply with Google Ads policies. We are not responsible for disapprovals, suspensions or penalties arising from material you require us to run against our advice.
2.6 Confidentiality and data
- Each of us will keep the other’s non-public business information confidential and use it only to deliver the service.
- Where we process personal data on your behalf, we do so on your documented instructions and in accordance with applicable data protection law, including the GDPR.
2.7 Term and cancellation
- Unless a fixed term is agreed in writing, engagements run month to month and either party may cancel by giving 30 days’ written notice.
- Fees for work already carried out up to the end of the notice period remain payable. On cancellation we will leave your Google Ads account intact and, where we hold access, hand back administrative control.
2.8 Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
- Subject to that, our total liability arising out of or in connection with the service is limited to the management fees paid by you to us in the three months immediately before the event giving rise to the claim.
- We are not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings.
2.9 Governing law
- These terms and any dispute arising from them are governed by the laws of Ireland, and both parties submit to the exclusive jurisdiction of the Irish courts.
- We may update these terms from time to time. The version published on this page, bearing the date shown above, is the version that applies.
